Monsieur le Directeur Général,
La AUTOPLAZA S.A., société anonyme haïtienne, parue dans le journal officiel Le Moniteur au no 82, en date du lundi 14 octobre 2002, ayant son siège social au no 20 du boulevard Toussaint Louverture, à Port-au-Prince, identifiée et patentée aux Nos 000-961-559-8 et 1807104738, représentée par son Président-Directeur Général, le Dr Réginald BOULOS, propriétaire, demeurant et domicilié à Port-au-Prince, identifié au no. 003-185-165-5, ayant pour avocats constitués Mes Samuel Madistin et Jean Gary Rémy du Barreau de Port-au-Prince, respectivement identifiés, patentés et imposés aux numéros: 003-341-604-3, 4610371819-0 et 4707292251; 003-265-694-7, 93842-O et 029041-AI avec élection de domicile au Cabinet Madistin et Associés sis au no 193, avenue John Brown, Port-au-Prince Haïti, a pris connaissance – via les réseaux sociaux – d’un avis en date du 18 octobre 2019 selon lequel vous avez décidé, « dans le souci de faire fructifier les avoirs des cotisants de l’office, de répondre aux réalités actuelles du marché financier et au taux de l’inflation, de réviser les taux des prêts consentis dans le cadre des dépenses d’investissement commercial dépassant le seuil de de Cinquante Millions de gourdes (50,000,000.00). » (sic)
Le contrat signé par l’entreprise avec votre prédécesseur le 29 septembre 2016 prenait en considération ces aléas et avait lié le taux d’intérêt au versement à l’ONA à une « quote-part en dollars » américains de 1.5% sur toutes les ventes de véhicules faites par l’entreprise. Ce qui représente en réalité plus de 20% des marges de l’entreprise. L’ONA s’était donc assurée de revenus en monnaie forte pour faire face à la décote accélérée de la gourde par ce placement en gourdes qui garantit une rentabilité en dollars américains. Dans l’esprit et la lettre de cet accord, c’était justement pour faire fructifier les avoirs des cotisants.
Les montants versés à l’ONA mensuellement incluaient donc non seulement les intérêts, mais aussi les quote-parts prévues dans le contrat.
Monsieur le Directeur Général,
Bien que le contrat avec l’ONA ne prévoie pas de taux d’intérêt variable, la AutoPlaza a pris note de la décision de votre direction de changer, aujourd’hui, de stratégie.
Elle tient, néanmoins, à attirer votre attention sur les points suivants :
1.- Toute augmentation du taux d’intérêt entraîne ipso facto l’annulation de la quote-part à verser en dollars à l’office sur les ventes des véhicules. Le Cabinet est prêt à travailler avec votre service juridique pour la mise en place de l’addendum à négocier et signer par les parties contractantes avant la date du 1er novembre, tel que fixé dans votre avis.
2.- La AutoPlaza a toujours respecté, dans les termes agréés, ses engagements via-à-vis de l’Office en intérêts et quote-parts. Ce qui, à date, représente un montant de Un Million Trois Cent Quarante Sept Mille dollars américains (US$ 1,347,363.53) comme en atteste le tableau des versements annexé.
3- Le contrat du 29 septembre 2016 en vigueur, loi des parties, ne prévoyant pas, faut-il le rappeler, de taux d’intérêt variable au gré du PRETEUR, l’entreprise restera et demeurera attachée aux termes de l’accord, si un addendum au contrat n’est négocié accepté et signé par les parties.
4- Cette mesure va contribuer effectivement à faire fructifier les avoir des cotisants :
Si elle est appliquée de façon indiscriminée, c’est-à-dire sur l’ensemble des prêts et placements accordés par l’ONA ;
Si elle est non partisane ;
Si elle est accompagnée d’un audit actuariel et financier permettant au public de mieux comprendre la situation réelle de l’institution ;
Si dans son application elle n’est pas vue comme un instrument de persécution politique.
Dans toute société démocratique, les personnes physiques et morales sont protégées contre l’arbitraire des puissances publiques.
